1. Agreement To These Terms
These Terms and Conditions (“Terms”) form a legally binding agreement between you, whether personally or on behalf of a business or other legal entity (“you”, “your”), and Stockburst Analytics Pty (Ltd) (“StockBurst”, “we”, “us”, or “our”).
These Terms apply to your access to and use of our website at https://www.stockburst.co.za, the StockBurst web application, StockBurst integrations, the StockBurst Connector plugin for WooCommerce, and any related services, support, features, tools, or documentation we provide (collectively, the “Services”).
By accessing or using the Services, creating an account, connecting an integration, installing the StockBurst Connector plugin, or using any StockBurst feature, you confirm that you have read, understood, and agree to these Terms. If you do not agree to these Terms, you must not use the Services.
2. Who May Use StockBurst
StockBurst is intended for business users. You must be at least 18 years old, or have the legal authority and permission required in your jurisdiction, to use the Services on behalf of a business.
If you use StockBurst on behalf of a company, close corporation, partnership, sole proprietorship, or other entity, you confirm that you are authorised to bind that entity to these Terms.
3. Our Services
StockBurst provides software tools for ecommerce, inventory, sales-channel, order, stock, pricing, picking-list, reporting, and integration management.
Features may include, depending on your subscription and enabled settings:
- product and stock management;
- warehouse and stock movement tracking;
- sales-channel integrations;
- WooCommerce integration and webhook processing;
- Takealot and marketplace integrations;
- order, picking-list, and fulfilment workflows;
- price, stock, and listing sync features;
- buy box and marketplace tracking tools;
- reports, exports, dashboards, and operational analytics;
- support and onboarding tools.
We may add, remove, improve, suspend, or modify features from time to time. We will try to avoid unnecessary disruption, but we do not guarantee that every feature will always remain available in the same form.
4. Accounts And User Responsibilities
You are responsible for:
- keeping your login details secure;
- all activity under your StockBurst account;
- ensuring that users in your business have the correct permissions;
- checking data, stock, prices, orders, exports, and sync results before relying on them;
- ensuring that your connected stores, marketplaces, and integrations are correctly configured;
- complying with all laws, tax rules, marketplace rules, consumer protection rules, privacy rules, and platform terms that apply to your business.
You must notify us as soon as reasonably possible if you suspect unauthorised access to your account or integrations.
5. Integrations And Third-Party Platforms
StockBurst integrates with third-party platforms such as WooCommerce, Takealot, and other ecommerce, marketplace, payment, courier, or business systems. These platforms are not owned or controlled by StockBurst.
When you connect a third-party platform, you are responsible for ensuring that:
- you have the right to connect that platform to StockBurst;
- you have permission to share the relevant product, stock, order, customer, and operational data with StockBurst;
- your use of StockBurst complies with the third-party platform’s terms, policies, API rules, webhook rules, and rate limits;
- the data and credentials you provide are accurate and up to date.
We are not responsible for outages, errors, API changes, rate limits, rejected updates, webhook failures, platform bugs, marketplace decisions, account suspensions, listing removals, or other issues caused by third-party platforms.
6. WooCommerce Connector Plugin
The StockBurst Connector plugin for WooCommerce is a lightweight plugin that helps connect a WooCommerce store to StockBurst. It may create WooCommerce API credentials, create or update WooCommerce webhooks, and send integration health information to StockBurst after an authorised user connects the store.
The plugin does not send setup or health data to StockBurst until an authorised WooCommerce user enters a StockBurst setup code, confirms consent, and connects the store.
After connection, WooCommerce may send configured product, order, and customer webhook events to StockBurst. StockBurst may also send permitted updates back to WooCommerce, depending on your StockBurst settings.
You are responsible for managing your WooCommerce store, plugin configuration, WordPress hosting, webhook settings, API keys, and WooCommerce permissions. You may disconnect the plugin by disabling the integration in StockBurst, removing WooCommerce webhooks, revoking WooCommerce API keys, or uninstalling the plugin.
7. API Keys, Webhooks, And Credentials
To provide integrations, StockBurst may store API keys, secrets, tokens, webhook secrets, connection URLs, store URLs, and other credentials that you provide or authorise us to create.
You grant StockBurst permission to use these credentials only for the purpose of providing the Services you enable. You are responsible for revoking or replacing credentials if they are compromised, no longer needed, or should no longer be used.
8. Customer Data And Operational Data
You retain ownership of your business data, including product data, stock data, sales data, customer data, order data, integration data, and operational records submitted to or processed through StockBurst (“Customer Data”).
You grant StockBurst the right to host, process, transmit, display, analyse, and use Customer Data as necessary to provide, secure, support, improve, and maintain the Services.
You are responsible for ensuring that you have a lawful basis to process and share Customer Data with StockBurst, including personal information received from WooCommerce, Takealot, or other sales channels.
9. Privacy
Our handling of personal information is described in our Privacy Policy, available at https://www.stockburst.co.za/privacy-policy/. By using the Services, you agree that we may process personal information as described in the Privacy Policy.
10. Fees, Billing, And Subscriptions
Some StockBurst features require a paid subscription or additional fees. Fees may depend on your selected package, users, integrations, usage, buy box trackers, order volumes, revenue, or other package rules shown in StockBurst or agreed with you.
You agree to provide accurate billing information and authorise us or our payment providers to charge the applicable fees. Unless stated otherwise, fees are charged in South African Rand (ZAR).
We may change pricing, packages, or billing rules from time to time. Where required, we will notify affected users before material pricing changes take effect.
11. Free Trials
We may offer free trials or promotional access. Trial terms, duration, feature access, and conversion to paid subscriptions may vary. We may modify, suspend, or end trial offers at our discretion.
12. Cancellation
You may cancel your subscription according to the cancellation options available in StockBurst or by contacting us at info@stockburst.co.za.
Unless otherwise agreed in writing or required by law, payments already made are non-refundable, and cancellation takes effect at the end of the current paid term.
13. Acceptable Use
You may not use the Services to:
- break any law or regulation;
- infringe another person’s rights;
- send malware, spam, or harmful code;
- attempt to gain unauthorised access to StockBurst or any connected system;
- interfere with the security, performance, or availability of the Services;
- abuse APIs, webhooks, rate limits, or integrations;
- scrape, copy, reverse engineer, or reproduce the Services except where allowed by law;
- use StockBurst to compete with StockBurst or build a substantially similar service;
- submit false, misleading, unlawful, or harmful data;
- use the Services in a way that could damage StockBurst, our users, or third-party platforms.
14. Marketplace And Channel Updates
StockBurst may allow you to send stock, price, lead time, product, listing, order, or status updates to connected channels. You are responsible for reviewing your settings and ensuring that updates sent from StockBurst are accurate and authorised.
We do not guarantee that a third-party platform will accept, process, display, or act on any update. Platforms may reject updates because of validation rules, rate limits, API changes, account settings, listing restrictions, policy rules, or other reasons outside our control.
15. Stock, Price, And Order Accuracy
StockBurst helps manage and automate operational data, but you remain responsible for final business decisions and accuracy checks. You should review important stock, price, order, listing, and fulfilment information before relying on it.
We are not responsible for losses caused by incorrect user settings, incorrect stock counts, incorrect product data, manual changes, third-party platform errors, rejected updates, delayed syncs, webhook failures, or decisions made using information shown in StockBurst.
16. Intellectual Property
StockBurst, the StockBurst name, logo, software, design, source code, documentation, features, workflows, and related intellectual property are owned by or licensed to StockBurst.
Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business operations.
You may not copy, resell, sublicense, reverse engineer, modify, or create derivative works from the Services except where expressly allowed by law or agreed in writing.
17. Feedback
If you send us ideas, suggestions, requests, or feedback, you agree that we may use them without restriction or compensation to you.
18. Confidentiality
Each party may receive confidential information from the other. Confidential information includes non-public business, technical, pricing, product, customer, integration, security, and operational information that should reasonably be understood to be confidential.
Each party agrees to use confidential information only for purposes related to these Terms and to protect it using reasonable care. Confidential information may be disclosed to employees, contractors, service providers, advisers, or authorities where necessary and where appropriate safeguards or legal requirements apply.
19. Service Availability
We aim to provide a reliable service, but we do not guarantee that the Services will be uninterrupted, error-free, or always available.
The Services may be affected by maintenance, upgrades, hosting issues, internet failures, third-party outages, marketplace API changes, security incidents, or events outside our reasonable control.
20. Support
We may provide support through email, in-app tools, chat, documentation, or other channels. Support availability and response times may depend on your subscription, business hours, issue complexity, and operational priorities.
21. Suspension And Termination
We may suspend or terminate your access to the Services if:
- you breach these Terms;
- you fail to pay fees when due;
- your use creates a security, legal, operational, or reputational risk;
- we are required to do so by law or a third-party platform;
- we reasonably suspect fraud, abuse, unauthorised access, or harmful activity.
On termination, your right to use the Services ends. We may retain or delete data in accordance with our Privacy Policy, legal obligations, backup processes, and legitimate business needs.
22. Disclaimers
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.
We do not warrant that StockBurst will prevent all stock errors, pricing errors, order errors, fulfilment issues, marketplace issues, or business losses.
23. Limitation Of Liability
To the fullest extent permitted by law, StockBurst and its directors, employees, contractors, suppliers, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profit, revenue, data, goodwill, business opportunity, or business interruption.
To the fullest extent permitted by law, our total liability for any claim relating to the Services will not exceed the fees paid by you to StockBurst for the Services in the three months before the event giving rise to the claim.
24. Indemnity
You agree to indemnify and hold StockBurst harmless from claims, losses, damages, liabilities, costs, and expenses arising from:
- your use of the Services;
- your breach of these Terms;
- your Customer Data;
- your connected stores, marketplaces, integrations, or credentials;
- your violation of any law, regulation, third-party right, or platform terms.
25. Changes To These Terms
We may update these Terms from time to time. The updated version will be shown with a new “Last updated” date. Continued use of the Services after the updated Terms are posted means you accept the updated Terms.
26. Governing Law
These Terms are governed by the laws of South Africa. The courts of South Africa will have jurisdiction over disputes relating to these Terms, unless applicable law requires otherwise.
27. Electronic Communications
You agree that communications, notices, agreements, invoices, and records may be provided electronically, including through the website, application, email, or other electronic methods.
28. General
These Terms, together with our Privacy Policy and any applicable subscription or package terms, form the agreement between you and StockBurst regarding the Services.
If any part of these Terms is found to be invalid or unenforceable, the remaining parts will continue to apply. Our failure to enforce a right does not mean we waive that right. You may not transfer your rights under these Terms without our written permission. We may transfer our rights and obligations where reasonably necessary as part of business operations, restructuring, merger, sale, or legal compliance.
